CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT
This Confidentiality and Non-Disclosure Agreement (“Agreement”) is entered into between:
Satoshi Tower Inc., a New York corporation (the “Company”) and
Effective as of the date of electronic acceptance.
1. PURPOSE
The Company is developing a confidential real estate, infrastructure, and digital-asset-related
project known as Satoshi Tower, located in Manhattan, New York. The Recipient desires access to
confidential materials for evaluation purposes only.
2. CONFIDENTIAL INFORMATION
“Confidential Information” includes, without limitation: Project documents, PGDEC materials,
Financial data, Architectural plans, Mining infrastructure details, Ownership structures, Security
concepts, and any documents accessed through the Satoshi Tower website.
3. OBLIGATIONS OF RECIPIENT
The Recipient agrees to: Keep all Confidential Information strictly confidential; Not disclose,
copy, distribute, photograph, record, or summarize any materials; Not share access credentials; Use
the information solely for evaluation purposes.
4. NO LICENSE OR TRANSFER
This Agreement does not grant any ownership, license, or rights in the Confidential Information. All
rights remain solely with Satoshi Tower Inc.
5. SECURITY & ACCESS CONTROL
The Recipient acknowledges that access is identity-restricted, activity may be logged, and
unauthorized access constitutes a material breach.
9. ELECTRONIC ACCEPTANCE
By entering their name above and clicking “I Agree,” the Recipient acknowledges that they have read
and understood this Agreement and their electronic acceptance constitutes a legally binding
signature.
